JUDGMENT

Vazeer Alam Mydin Meera J:

[1] The plaintiff, a wholly owned subsidiary of Bircher Reglomat Holdings AG of Switzerland, was engaged in the business of assembling and sale of electronic apparatus for safety edge systems and sensors, primarily manufactured by its associate companies in Europe.

[2] The 1st defendant was employed by the plaintiff as its General Manager and was also a Director on the plaintiff's board of directors. The other Directors of the plaintiff were:

i. Daniel Thomas Nef - appointed on 23 November 2012 but was stationed in Switzerland; and

ii. Christina Lim Yen Chee (PW10) - who was also an employee of the plaintiff.

[3] The 2nd defendant was incorporated on 27 August 2012 and its shareholders and Directors are:

i. Lim Ai Theng (PW13) who owns 68,000 shares; and

ii. Lim Kok Ming (PW14) who owns 12,000 shares.

Lim Ai Theng (PW13) is the wife of the 1st defendant, whilst Lim Kok Ming (PW14) is her brother.
